Regulación de Prop Firms en 2026: Lo Que Todo Fundador Debe Saber

Según los titulares, las prop firms están a punto de ser prohibidas o son territorio libre para siempre — depende de quién te esté vendiendo algo. La realidad en 2026 es más concreta, y si estás lanzando o dirigiendo una firma, los detalles importan.

·EE.UU. endurece: futuros y marketing

El desarrollo más claro del año es la consulta pública de la CFTC sobre si los fees de challenges vinculados a futuros deben tratarse como participaciones en un commodity pool — una clasificación que obligaría a esas firmas a registrarse ante la CFTC y la NFA. Además, el enforcement estadounidense ha golpeado a firmas que presentaron trading simulado como si fuera real, y la NFA publicó estándares para el marketing de afiliados. El patrón: no van a prohibir el prop trading, están probando el perímetro.

·Europa observa sin moverse

ESMA analizó el prop trading minorista y lo despriorizó públicamente. No viene un régimen europeo dedicado este año. Lo que existe es la maquinaria ordinaria: normas de conducta MiFID II, reguladores nacionales analizando caso por caso, y — si pagas payouts en cripto dentro de la UE — MiCA como capa adicional de cumplimiento.

·Qué persiguen los reguladores en la práctica

  • Simulado vs real: el marketing nunca debe implicar ejecución en mercado real si el challenge es demo
  • Promesas de payouts y apalancamiento: anuncia lo que realmente entregas, con las condiciones visibles
  • Estructura del fee: si empieza a parecer contraprestación por un producto financiero, llega el riesgo de clasificación
  • Dónde está el dinero: la tesorería de payouts y el flujo deben corresponder a una estructura legal defendible

·Cómo estructurarse en 2026

Las firmas que seguirán operando en tres años comparten forma: una entidad limpia cuyas actividades coinciden con su jurisdicción, términos de challenge honestos redactados por alguien que leyó la consulta de la CFTC, marketing revisado contra el estándar simulado-vs-real, y rieles de pago — cripto incluido — con verdadero screening AML.
